Baseten Sealed Volumes pin model data by digest, with a warning about mutable tags

Baseten’s October 26 release versions read-only model artifacts for deployment. Digest pins and mutable tags behave differently during scaling, and the feature requires current CLI/Truss versions with T4 and L4 excluded.

Meta proposes $35 billion offerings alongside AI infrastructure investment

By OpenTools Team

Meta’s October 26 plan combines proposed common‑stock forward and preferred‑stock offerings with a separate, uncertain future ATM program. Initial common sales do not give Meta proceeds, and chip‑company interest is nonbinding.

Two proposed offerings support a broader financing plan

Meta announced on October 26 approximately $35 billion in concurrent underwritten public offerings: about $22.5 billion of Class A common stock connected to forward sale agreements, and about $12.5 billion of depositary shares representing mandatory convertible preferred stock. These are announced offerings, rather than a report that Meta has already received the full amount.

The company frames the financing alongside its investment in AI infrastructure, compute capacity and related products. It says proceeds from the depositary offering and future settlement of the forward agreements are intended for general corporate purposes. The release does not assign all the proposed funding to a particular data centre, chip supplier or AI product.

The common‑stock route does not bring Meta cash initially

The forward‑sale structure changes when money reaches Meta. The company does not expect to receive initial proceeds from shares sold by the forward purchasers or their affiliates in the common‑stock offering. It intends to issue and deliver shares to the forward purchasers later, in exchange for cash at an adjusted forward sale price.

Meta says settlement is intended to occur on one or more dates it specifies on or before November 19, 2027. That is different from receiving the entire common‑stock offering’s headline amount at launch. The depositary shares represent interests in a preferred security designed to convert into common shares later. Its dividend and conversion terms remain to be determined at pricing. Completion of either offering is not conditional on completion of the other.

The $60 billion ATM program is a separate future proposal

The same release outlines a planned approximately $60 billion at‑the‑market program for Class C common stock. In such a program, Meta may sell shares from time to time rather than announce that the full capacity has already been sold. The company expects the program to begin no earlier than the first quarter of 2027, after Class C shares start trading.

Meta says it has not entered an agreement for that program and that its timing, size and terms have not been determined. It may not be established on the described terms, or at all. Its planned capacity therefore should not be added to the concurrent offerings and described as $95 billion already raised.

Chip companies have expressed interest, not committed purchases

NVIDIA, AMD and Broadcom have indicated interest in buying up to $5 billion in aggregate of the common shares offered—not $5 billion each. Meta explicitly describes those indications as nonbinding. The companies may ultimately buy more, fewer or no shares, and the underwriters may allocate a different amount.

Those indications are not completed investments or a disclosed hardware‑purchase agreement. The announcement also cautions that completion of the offerings, the future ATM program and anticipated uses of proceeds remain subject to risks and uncertainty. It establishes a proposed mix of financing routes for Meta’s investment plans, rather than cash already received or evidence of future returns from its AI spending.
