Atmo and its 20‑person US team joined Xweather at the October 28 closing. Vaisala separates a USD 70 million fixed purchase price from a possible performance‑and‑retention earn‑out.

From an announced deal to a completed team transfer

Vaisala has completed its acquisition of AI weather‑forecasting company Atmo, which is now part of Vaisala Xweather. Vaisala’s October 29 closing notice confirms that the transaction closed on October 28 after regulatory approvals and the other closing conditions were met.

The notice establishes three distinct milestones:

USD 70 million is fixed; up to USD 60 million depends on later conditions

The fixed purchase price is USD 70 million on a cash- and debt‑free basis, according to Vaisala’s October 29 closing notice. Vaisala says this was paid mainly at closing through cash and 120,185 Vaisala series A shares; it does not give the cash‑versus‑share value split.

A separate cash earn‑out of up to USD 60 million depends on Atmo’s business performance and retention of key employees over 2026–2028. The maximum possible earn‑out is therefore different from money already paid or an additional fixed obligation. Describing the purchase as USD 130 million paid at closing would erase that distinction.

What weather‑data customers can take from the closing

Vaisala describes the planned combination as joining its observation technology with Atmo’s AI forecasting models and Xweather’s weather intelligence. The release places Atmo within Xweather’s roadmap for meteorological agencies and defense organizations. The immediate operational change is a team and technology joining an existing weather‑intelligence business.

For a customer, the next product milestone is the combined offering itself: its capabilities, access route and customer terms. Those details are not supplied by this closing notice, and corporate integration alone does not demonstrate better forecast accuracy. Existing users should not infer a new service entitlement or account migration from the ownership announcement.

The announcement supplies a useful boundary between a completed organizational change and a product that remains to be unveiled. No forecasting model, customer account or underlying transaction agreement was tested or reviewed for this report.
